In accordance with SEBI Circular No. HO/38/13/11(14)2026-MIRSD-POD/I/17111/2026 dated 23 July 2026 on “Ease of Doing Investment and Ease of Doing Business – Simplification and standardisation of the framework for transmission of securities”, the Company has adopted the revised framework for transmission of securities consequent to the demise of the sole holder/all joint holders.
The revised framework is applicable with effect from August 22, 2026, being 30 days from the date of issuance of the aforesaid SEBI Circular.
The procedure applies to transmission of securities of the Company consequent upon the demise of the sole holder/all joint holders.
The framework shall not apply where there is any dispute, contesting claim or competing claim. Such matters shall be resolved through appropriate judicial/legal proceedings.
Transmission claims are classified into the following categories:
For valuation of securities, the value shall be determined on the basis of the previous closing price of such securities at any one of the recognised stock exchanges.
QTP shall be applicable to low-value claims where there is no nomination and the claimant is an immediate relative of the deceased holder, namely parent, spouse, child or parent-in-law.
For QTP claims, the claimant shall submit the prescribed Transmission Request Form-cum-Undertaking (Annexure-2) along with a document establishing the relationship between the claimant and the deceased holder
Where securities are held with a nomination, the nominee(s) shall receive the assets of the deceased sole holder/all joint holders as trustee(s) on behalf of the legal heir(s) of the deceased holder(s).
The following documents shall be submitted:
Where no nomination has been registered, the securities shall be transmitted in favour of the claimant(s)/legal heir(s), subject to submission and verification of the prescribed documents.

Where the death certificate is in a language other than English, a self-certified English translation shall also be submitted.
In case of demise of one or more joint holders, the securities shall be transmitted in favour of the surviving joint holder(s), provided there is nothing contrary in the Articles of Association of the Company.
In such cases, no documentation relating to KYC, indemnity or undertaking shall be sought from the surviving joint holder, except the death certificate of the deceased joint holder(s), as prescribed by SEBI
The claimant shall submit the applicable prescribed form along with the required supporting documents to the Company/RTA.
Upon receipt of the claim, the Company/RTA shall issue an acknowledgement and shall inform the claimant at that time of any pending, missing, incomplete or incorrect documents.
Upon subsequent receipt of all required documents, the Company/RTA shall issue confirmation that all required documents have been received for processing
The Company/RTA shall process the transmission claim within 21 calendar days from the date of receipt of all the required documents associated with the claim, or such other period as may be specified by SEBI from time to time.
In case the claim is not settled within the stipulated timeline or is rejected, the reasons for such delay/rejection shall be communicated to the claimant in writing

Securities and Exchange Board of India ("SEBI") vide its circular-SEBI/HO/MIRSD/MIRSD-PoD-1/P/CIR/2023/37, dated March 16, 2023, has mandated the furnishing of PAN, Nomination, Contact Details, Bank Account details and Specimen Signature ("mandatory KYC") by the shareholders holding shares in physical.The SEBI circular -SEBI/HO/MIRSD/MIRSD-PoD-1/P/CIR/2023/37 dated March 16, 2023 stipulates that the shareholders holding shares in physical mode do not update the PAN, KYC and Nomination details or these details are not made available to the Company/their Registrar and Share Transfer Agents (RTA) on or after 1st October, 2023, then such folios shall be frozen by RTA as per the directive issued by SEBI. The Frozen folios shall be referred by the RTA / listed company to the administering authority under the Benami Transactions (Prohibitions) Act, 1988 and/or Prevention of Money Laundering Act, 2002, if they continue to remain frozen as on December 31, 2025.
Thereafter the SEBI came up with its circular -SEBI/HO/MIRSD/POD-1/P/CIR/2023/181, dated November 17, 2023 wherein the process of freezing of folio's and referral of folios by the RTA/listed company to the administering authority under the( Benami Transactions Prohibitions) Act, 1988 and/or Prevention of Money Laundering Act, 2002, has been done away with / deleted.
